Well what he could be going on about is that true or not things aren’t “official” until the change is seen. Contrary to popular belief I have not once called this a scam or said we don’t have great potential here, but that doesn’t mean it should all be blind belief. We’d all have to assume that there are far more shareholders than the ones posting here. You can’t extrapolate your echo chamber here as being the sentiment of all of them and that the recent price action has to be mms and “Vapor shares” and “manipulation.” When just as easily there are far more logical explanations. Such as lack of filings (again doesn’t mean problem or scam just means no filings yet) and other things. Like just this morning I come to the board to see our new IR GUY (who started so polite and professional after foolio left the bldg) use his one post (a post restriction for an IR GUY caused by the previous IR GUY who didn’t think to start a new ihub acct with a different email good grief) to tell another poster to “learn how to read” Even if that guy is basher troll don’t devolve and give him/them more ammo. It’s beyond absurd and counterproductive. Just “put him on iggy “like the cool kids here say. I have money. I’m still here with shares but I’m a part of that missing buy buy pressure and I’m certainly not the only one. Do better

I'll believe it when I see 8-Ks or material changes on OTC. For now it's just an instagram post to me and anyone who actually cares about the true pubco process not you pumpers who gleam at every Instagram post. FYI: nothing is material yet.

Cohen is a Auditor by trade. He was CFO of another from what he's put out. He knows the space very well and knows what is needed to move the process from Aufitirs, COS and legal. He's posted he will not allow the process to become a long drawn out gravy train for these individuals.
I was always under the impression it took 2 full years for any uplist to the Big boards. So there is that? QX I have no clue.

Good to know but unfortunately I don't have the in to answer that question, just make an educated guess. I know they have contracted the audits for these to Grassi but as to how far along they are in that process I have no clue. Could be that the audits are done and that is why they waited to file so they could uplist to OTCQX but again, I have no clue. Unfortunately I think the Controlled ihub account is still limited to 1 post per day. You should reach out to Cohen via the controlled.nyc instagram account and ask cause he tends to be pretty responsive in my experience.

I just want clarification what is being applied for? Access to just control the current Pink Tier details or did they apply for a higher tier? 

This is relevant because the page posted on X looks like OTCQX. I'm asking because QX requires PCOAB audited filings, among a ton of other requirements I wasn't aware have been accomplished by those in control.

AZRH is already Pink Current per the OTC markets page so I would assume OTCQX, but this side of things isn't my forte so I could be mistaken with how that aspect of the application process works.

I am absolutely not a paid employee of AZRH. Not that I wouldn't love to be a part of the team somehow to help out but I fear my talents are useless to them haha, Actually met Josh through instagram ironically enough cause I followed his page and he checked out mine and liked the axes I restore in my free time. He actually reached out to me and we have just been communicating ever since. I just wholeheartedly believe in what he is doing and have enough of a financial background to like what I am seeing financials wise. I can confidentely say you have way more shares than I do. I'm rather small potatoes as far as investing goes cause I don't like putting my money in the market but this is the first time I've actually really trusted where a stock is going. And I've often made the same point to friends that you're making to me... it's the information and not that platform the info was taken from that matters.

Really appreciate your sentiment and will never understand the naysayers at this point, but it's like they say - if you don't have "haters" you're doing something wrong I suppose.

Back to question re: Merger's - Cohen intends to draw the line in the sand on Mergers and JVs after Button Energy and Mountain V Oil & Gas (Propane & Nat Gas Drilling Program in Kentucky and West Virginia) + MAXXED Rail as an intercompany divisio to transport the propane and Butane to Button.

Mergers will always be contemplated and we believe together with retail and our stakeholders (FWT, CTT, CST) that we have built a very strong foundation poised for high growth on the Oil Field Services side.  Are there other acquisition targets (some of which are in active negotiations currently)? Yes. A lot.  But, and as agreed upon together with Roth and Raymond James and a few other larger ticket investors - let's grow what we have for now, stabilize that growth, and tuck in more companies like potentially $GPLS / ATC after the existing companies have stabilized their cash flows and growth AND after the audit is done.

The home and commercial energy portion of the business will first start with the acquisition of Button Energy and the JV with Mountain V and formation of MAXXED Rail.  Do we see an opportunity to grow Button by way of more acquisitions and organically? Yes.  Do we see an opportunity to grow the JV with Mountain V which (1) increases profitability by drilling our own propane and reducing our COGS (2) creates a revenue stream outside of Button through non-operated sales of all the other gases outside of Butane and Propane by selling these gases into the HUB - YES, growing this JV should be hard as Mountain V currently owns and operates 300,000 mineral AND surface acres and 3,600 wells.

Further M&A would look like the following (most likely after the Nasdaq IPO): 
- bigger Oil Field Service companies in West Texas that are on the construction and Drilling sectors
- Strategic M&A with other geographically aligned Propane and Home Heating Oil Distributors like Button Energy
- Potentially buying a refinery and a gas processing plant down the line (2-3 years from now)

Cohen will be releasing more color on the company's strategy and timeline over the next day or 2 as he works to wrap up a private placement or a loan over the next few days to ensure that the company is well capitalized going into the new year, and has the resources it needs to grow the current business revenue by 2-2.5x in 2025.

Note - couldn't be going better with the onboarding of Conoco Phillips and Freedom Well Testing, and OXY is looking really good as well to grow revenue back up together (note OXY revenue alone for 2023 was $20M of the $23M recorded for last year).

He certainly has a growth mindset and I get the impression that it will never truly be done. So long as the deal can be profitable for those involved then I feel like her would incorporate to the empire he is building. There are probably tons of little oil and gas businesses he could easily bring into the fold.

Makes you wonder when he will consider this "finished" with mergers.

Why would you have a PR for a spec acquisition a year out? If you haven't noticed his instagram reels have nearly all come to fruition, hence why this is no longer a shell but an umbrella holding 3 companies and soon to be 4. Honestly don't get how people could possibly shit on a CEO actually communicating to shareholders, irregardless of the medium through which it is communicated. Would you prefer a twitter post? Would that make it feel more legitimate to you for some reason?

Josh's instagram reels today had an interesting little breadcrumb on a potential future merger for another 75M in revenue. But he did say it wouldn't be at least until NAS uplist and that he could not discuss more. Still though, they have their eye on growing Amiercan Industries even more it seems.

It's more economical and cheaper to start a rail company for internal use with smart debt from our banks that will finance up to 85% of the cost of a used LNG / CNG rail car (online used / refurbished are around $125 - $175k a car) vs buying a rail business with external sales and then building off of that business for internal purposes.

By building this capability in-house from the ground up - we can just fill the tanks with liquid gas to start, connect up to an existing line and have dropped off to the rail sidings button has built - this eliminates unnecessary overhead such as the need to employ conductors, demurrage (idled time at terminals) etc.

Cohens most focused on limited to no dilution and sees this as a much smarter and capital efficient move vs buying a company for this particular venture.

I mean this is a new company he is creating, not merging. I assume he either did not find a rail company he wanted to merge in or the terms were undesirable. I appreciate the vision and dedication to make it happen.
