Item 1.01. Entry into Material Definitive Agreement.
On June 24, 2022, Monterey
Capital Acquisition Corporation (the “Company”) entered into an amended and restated warrant agreement (the “Amended
and Restated Warrant Agreement”) to amend and restate the warrant agreement, dated May 10, 2022 (the “Original Agreement”),
by and between the Company and Continental Stock Transfer & Trust Company, as warrant agent, to conform the provisions of the Original
Agreement to the description of the terms of the private placement warrants set forth in the prospectus filed with the Securities and
Exchange Commission on May 12, 2022.
The Amended and Restated
Warrant Agreement is attached hereto as Exhibit 4.1 and incorporated by reference herein in its entirety.
