Press Release

MTS issues RUB 10 bn in Bonds

April 27, 2022

MOSCOW, Russia – Mobile TeleSystems Public Joint Stock Company (“MTS” or “the Company”) (NYSE:MBT; MOEX: MTSS), Russia’s largest mobile operator and a leading provider of media and digital services, announces the issuance of RUB 10 bn in exchange-traded series 001P-20 bonds with a maturity of 4 years and a coupon rate of 11.75%.

The nominal price of the bonds is set at RUB 1,000, the coupon period at 91 days, and the price of placement at 100% of nominal value.

The book building held on April 26 saw robust demand, with nearly 30 orders from banks as well as fixed-income investors totaling around RUB 20 bn. As a result, the coupon was reduced three times from an initial rate of 12.00% to a final fixed rate of 11.75%.

Alexander Smirnov, Corporate Finance & Treasury Director, commented: “Despite ongoing market volatility — as well as this being one of the first market transactions since February — the book was significantly oversubscribed thanks to a diversified investor base. This issuance further reaffirms the investment community’s high level of trust in our company, as well as the sustained market interest in high-quality MTS debt instruments.”

The technical placement of the bonds is planned for May 6, 2022 on the Moscow Exchange (MOEX). The bonds are planned to be included in MOEX’s Level I Quotation List, with a credit rating expected from the Expert RA agency. MTS intends to use the funds for general corporate purposes.
