Proposed demerger of Aclara Resources Inc. on the TSX

Results of Extraordinary General Meeting

Hochschild Mining PLC ("Hochschild" or "the Company") (LSE: HOC) (OTCQX: HCHDF) is pleased to announce that, at the Company's Extraordinary General Meeting (the "EGM") held earlier today, the ordinary resolution set out in the Notice of EGM was duly passed by shareholders.

Further announcements regarding the timing of the Demerger Dividend will be made in due course.

Full details of the ordinary resolution were set out in the circular issued to shareholders on Tuesday 19 October 2021 (the "Circular").

The ordinary resolution was voted on by way of a poll and the results were as follows:

1. A vote withheld is not a vote in law and is not counted in the calculation of the percentages of votes cast for or against the resolution.

Every shareholder has one vote for every share held. As at 5 November 2021, the Company's issued share capital comprised 513,875,563 ordinary shares of 25p each. Each ordinary share carries the right to one vote at a general meeting of the Company and, therefore, the total number of voting rights is 513,875,563.
