(the "Company") announced today the pricing of its initial public
offering of 10,000,000 units, at a price of $10.00 per unit. The units are expected to
commence trading on December 20, 2024
on the Nasdaq Global Market under the symbol "RANGU."
The Company, which is led by Timothy
Rotolo, is a special purpose acquisition company formed for
the purpose of effecting a merger, share exchange, asset
acquisition, share purchase, reorganization, or similar business
combination with one or more businesses.
Each unit sold in the offering consists of one ordinary share
and one right entitling the holder thereof to receive one-tenth of
one ordinary share upon the completion of an initial business
combination. Once the securities comprising the units begin
separate trading, the ordinary shares and rights are expected to be
listed on the Nasdaq Global Market under the symbols "RANG" and
"RANGR," respectively.
EarlyBirdCapital, Inc. is serving as the sole book-running
manager of the offering. The underwriters have been granted a
45-day option to purchase up to an additional 1,500,000 units at
the initial public offering price to cover over-allotments, if
any.
The offering is expected to close on or about December 23, 2024, subject to customary closing
conditions.
