Posting of Scheme Document
On 13 October 2011 the Boards of Dominion and Ophir announced
that they had reached agreement on the terms of a recommended offer
to be made by Ophir to acquire the entire issued and to be issued
share capital of Dominion (the "Acquisition"). As explained in such
announcement, it is intended that the Acquisition be implemented by
way of a scheme of arrangement under section 99 of the Companies
Act 1981 of Bermuda (the "Scheme").
Dominion is pleased to announce that it is today posting a
scheme document to Dominion Shareholders (the "Scheme Document")
containing further information about the Scheme and convening the
Court Meeting and the General Meeting of Dominion Shareholders for
10.00 a.m. (Bermuda time) and 10.15 a.m. (Bermuda time)
respectively on 12 December 2011. The meetings, at which
resolutions will be proposed to approve the Scheme, are to be held
on the 2(nd) Floor, Richmond House, 12 Par-la-Ville Road, Hamilton
HM 08, Bermuda.
Update on Conditions
The Acquisition is subject to a number of Conditions including
clearance from the Kenyan Competition Authority and the Tanzanian
Fair Competition Commission and the consent of the Republic of
Kenya's Minister of Energy.
Formal submissions have now been made to the Kenyan Competition
Authority and the Tanzanian Fair Competition Commission seeking
clearance in respect of the Acquisition. Furthermore, Dominion and
Ophir will shortly be approaching the Republic of Kenya's Minister
of Energy to seek consent to the Acquisition. Dominion will update
the market when formal responses have been received.
Dominion is also pleased to announce that confirmation has been
received in a form satisfactory to Ophir that only a work programme
and budget as agreed between Ophir and Dominion has been approved
in respect of Block 7 in Tanzania and, as such, the Condition set
out in paragraph 6 of Appendix I to the announcement of 13 October
2011 has already been satisfied.
Expected timetable
Subject to, amongst other things, the approval of Dominion
Shareholders, the sanction of the Court and the satisfaction (or
waiver) of the other Conditions, it is expected that the Scheme
will become effective on 17 January 2012. It is anticipated that
Admission of the New Ophir Shares to be issued to Scheme
Shareholders will become effective and dealings for normal
settlement in the New Ophir Shares will commence at 8.00 a.m. on 18
January 2012.
The Appendix to this announcement contains the expected
timetable of principal events in connection with the Scheme.
Dealings and cancellation of Admission to trading on AIM
It is expected that dealings in Dominion Shares and Depositary
Interests will be suspended at 6.00 p.m. (London time) on 13
January 2012. There will be no dealings in Dominion Shares or
Depositary Interests from that time.
Dominion wishes to notify that application will be made to the
London Stock Exchange for the cancellation of admission to trading
on AIM of the Dominion Shares conditional upon the Scheme being
sanctioned by the Court and becoming effective. The notice period
of not less than 20 business days prior to cancellation referred to
in Rule 41 of the AIM Rules will commence today. It is anticipated
that cancellation of trading will take effect at 7.00 a.m. on 18
January 2012.

referred to above and information on both Dominion and Ophir are
set out in the Scheme Document. Additional information about Ophir
and the New Ophir Shares to be issued to Scheme Shareholders
pursuant to the Scheme will be included in the Prospectus, which
Ophir expects to publish by 5 December 2011 and which will be
available to Dominion Shareholders electronically at
http://www.ophirenergy.com.

The New Ophir Shares have not been and will not be registered

(1) If the blue Form of Proxy for the Court Meeting is not
received by Dominion's Registrar by the above time, it may be
handed to Dominion's Registrar, on behalf of the Chairman of the
Court Meeting, before the commencement of that meeting.

Voting Record Time for the relevant reconvened meeting will be 6.00
