                 Invocas Group plc ("Invocas" or the "Company")

                            Directors' Shareholdings





Invocas has been notified that Bob Lewis, Non-Executive Director of the Company,
has today disposed of 1,300,000 ordinary shares in the Company by way of gift to
two trusts in favour of his two daughters. In addition, Mr Lewis has disposed by
way of gift of a further 30,000 ordinary shares of the Company to a Charitable
Settlement. In each case, both Mr Lewis and his wife are the trustees.



Accordingly, Mr Lewis' overall shareholding in Invocas remains unchanged at
2,206,385 ordinary shares representing 7.72 per cent. of the entire issued share
capital of the Company, He is now beneficially interested in 876,385 ordinary
shares and non-beneficially interested in 1,330,000 ordinary shares.
