Poundland Group plc (the "Company") announces that on 2(nd) March 2015, in accordance with paragraph 3.1.2R of the Disclosure and Transparency Rules, Grant Hearn, Independent Non-Executive Director, notified the Company that he had on the day of the notification acquired 10,000 ordinary shares of 1 pence each in the capital of the Company ("Ordinary Shares") at a price of 3.86987 each

Mr Grant's holding in the Company is 10,000 Ordinary Shares, which represents 0.004% of the entire issued share capital.
