Public Network PLC - Directors Shareholding

Further to the announcement made by the Company dated 13 September 2002,
regarding the offer to shareholders of 2,000,000 ordinary shares held by certain
Directors, Public Network PLC announces that it has been informed that as of 12
November 2002, 1,805,000 shares have been sold by Directors as detailed below,
raising #90,250.

Mr Alan Grace sold 676,875 ordinary shares of 10p each in the Company (2.62%) at
a price of 5p per share.  This sale reduces Mr Grace's total shareholding in the
Company to 1,213,125 shares (4.69% of the issued shares).

Mr Richard Nowacki sold 676,875 ordinary shares of 10p each in the Company
(2.62%) at a price of 5p per share.  This sale reduces Mr Nowacki's total
shareholding in the Company to 1,213,125 shares (4.69% of the issued shares).

Mr David Martin sold 451,250 ordinary shares of 10p each in the Company (1.74%)
at a price of 5p per share.  This sale reduces Mr Martin's total shareholding in
the Company to 1,453,750 shares (5.62% of the issued shares).

The sale of shares was approved by London Stock Exchange on 22 August 2002 who,
because of the particular circumstances, granted the Directors permission to
offer their shares for sale during a "Close period".  As detailed in that
announcement the Directors have signed formal agreements confirming that all
monies raised by the sale of their shares has been loaned to Public Network PLC
as an unsecured, interest free loan.

The anticipated closing date of the share sale offer is 30 November 2002.  A
further announcement of the final results of the offer will be made in due
course.
