Ordinary 10p shares held by the Cattles Employee Benefit Trust under the rules
of the Cattles Restricted Share Scheme No 2 vested on 6 April 2003 in two
executive directors following the achievement of three year performance targets
under a long term incentive plan.


The directors concerned, and the number of shares vested in them, are as
follows:

49,963 of these shares have today been disposed of in the market at a price of
293p per share, M W G Collins having retained 18,232 shares.
