Amedica
Corporation (the “Company”) has not yet completed certain financial and other information necessary for an accurate
and full completion of the Annual Report. As a result, the Company cannot, without unreasonable effort or expense, file its Form
10-K on or prior to the prescribed due date. The Company expects to file its Form 10-K within fifteen (15) calendar days of the
prescribed due date.
