Result of General Meeting, Issue of Equity and Total Voting Rights

Actual Experience plc (AIM: ACT), the analytics as a service company, confirms that at the General Meeting held earlier today for Shareholders to approve the issue of the Conditional Placing Shares, all Resolutions were duly passed.

Application has been made to the London Stock Exchange for 4,793,138, new ordinary shares of 0.2 pence each ("Ordinary Shares"), which comprise the Conditional Placing Shares, to be admitted to trading on AIM. It is expected that Admission will occur and dealings will commence on 9 February 2021 at 8.00 a.m.

Accordingly, the Company has raised gross proceeds of GBP5.03m from the Conditional Placing and aggregate gross proceeds of GBP10.0m as a result of the Firm Placing and Conditional Placing.

Total Voting Rights

Following Admission, the Company will have 57,184,802 Ordinary Shares in issue . Each Ordinary Share has one voting right. No Ordinary Shares are held in treasury. Accordingly, immediately following admission of the Conditional Placing Shares, the total number of voting rights will be 57,184,802 . This figure may be used by Shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

Capitalised terms used in this announcement shall, unless defined in this announcement or unless the context provides otherwise, bear the same meaning ascribed to them in the announcement made by the Company on 21 January 2021 to launch the Placing.
