Result of Extraordinary General Meeting

Brookwell Limited announces that at the Extraordinary General Meeting held earlier today, the resolution to cancel admission to trading of the Company's D Shares on AIM, to wind up the Company voluntarily and to appoint James Robert Toynton and Alan John Roberts of Grant Thornton as joint liquidators was passed. Details of the resolution are contained in the circular dated 9 July 2013 (the "Circular").

The proxy voting was as follows:

As set out in the Circular, the last day for dealings in the D Shares on AIM is expected to be 6 August 2013 and it is expected that Cancellation will become effective from 7.00 a.m. on 7 August 2013. If

D Shareholders wish to buy or sell D Shares on AIM, they must do so prior to the Cancellation becoming effective.

Upon Cancellation, Deloitte Corporate Finance (nominated adviser) and Marshall Securities Limited (broker) will cease to act as advisers to the Company and any future queries will be dealt with by the Joint Liquidators and the Investment Manager. Further, upon Cancellation, the Company will no longer be required to comply with the rules and corporate governance requirements to which companies admitted to trading on AIM are subject, including the AIM Rules.
