Notification of Transactions of Directors

The Company announces that it was notified on 17 May 2021 of the following transactions in respect of the Company's Ordinary Shares of 6(14/81) pence ("Shares") relating to an Executive Director.

The following notifications, made pursuant to Article 19 of the Market Abuse Regulation, provide further details.

   (i)        Grant of Awards

An award of Shares was granted on 17 May 2021 to an Executive Director, equivalent to 250% of base salary.

The award was granted under the terms of the Centrica Long Term Incentive Plan and as reported in the 2020 Remuneration Report, is in respect of the three-year performance period 2020-22. This is a conditional award and it is subject to continued employment.

Vesting of the award is subject to the satisfaction of the performance conditions that were disclosed in the 2020 Remuneration Report. Post vesting, the Shares are subject to an additional two-year holding period.
