Heywood Williams Group PLC ("the Company") advises that on 23 December 2002 and 
pursuant to the terms of the remuneration agreement agreed between the Company 
and Hamish Bryce, the Company's Non-Executive Chairman, Mr Bryce acquired 2,318 
ordinary shares in the Company at a price of 121p per share. Following this 
purchase Mr Bryce is interested in a total of 124,771 ordinary shares.
