PART III - NARRATIVE

 

Golden Minerals Company (the “Company”) was unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the period ended September 30, 2024 (the “Quarterly Report”) by the November 14, 2024 deadline for smaller reporting companies. This delay was due to the Company’s need for additional time to complete its financial statements and related disclosures in the Quarterly Report. The Company is still in the process of compiling the required information, and its independent registered public accounting firm requires additional time to complete the review of the financial statements for the period ended September 30, 2024, to be included in the Quarterly Report. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the Company will file its Form 10-Q no later than the fifth calendar day following the prescribed due date.
