Events.
On February 23, 2022, the Board of Directors
of International Bancshares Corporation (“IBC”) approved the extension of, and an increase in, IBC’s stock repurchase
program by authorizing the repurchase of up to $150 million of IBC common stock during the twelve month period commencing on March 15,
2022 and ending March 15, 2023.
All of the information furnished in Item 8.01
of this report and the accompanying exhibit is also intended to be included under “Item 7.01 — Regulation Fair Disclosure”
and shall not be deemed to be “filed” for the purposes of Section 18 of the Securities and Exchange Act of 1934, as amended,
is not subject to the liabilities of that section and shall not be incorporated by reference in any filing under the Securities Act of
