This Amendment No. 2 amends and supplements the Tender Offer Statement on Schedule TO (the Schedule
TO) relating to an Offer to Exchange Eligible Options for New Options dated June 9, 2017 (the Offer) by Sunesis Pharmaceuticals, Inc., a Delaware corporation (the Company), originally filed with the Securities and
Exchange Commission (the SEC) by the Company on June 9, 2017, as amended and supplemented by Amendment No. 1 filed with the SEC on June 28, 2017.
This Amendment No. 2 is the final amendment being filed in order to report the results of the Offer. Except as amended and supplemented hereby, all terms
of the Offer and all disclosures set forth in the Schedule TO, as amended, remain unchanged. All terms used herein have the same meaning as in the in the Offer to Exchange Eligible Options for New Options, dated June 28, 2017, filed with the
SEC as Exhibit (a)(1)(A) to Amendment No. 1 (the Offer Summary).
Item 4. Terms of the Transaction.
(a)
Material Terms.
Item 4 of the Schedule TO, as amended, is hereby amended and supplemented to add the following information:
The Offer expired at 11:59 p.m., U.S. Eastern time, on Friday, July 7, 2017. Pursuant to the Offer, as of the expiration of the Offer, 25 Eligible
Holders tendered, and the Company accepted for cancellation, Eligible Options to purchase an aggregate of 778,928 shares of the Companys Common Stock, representing approximately 99.7% of the total shares of the Common Stock underlying the
Eligible Options held by Eligible Holders. On July 10, 2017, following the expiration of the Offer, the Company granted New Options to purchase 543,650 shares of the Common Stock in exchange for the cancellation of the tendered Eligible
Options. The exercise price per share of the New Options granted pursuant to the Offer was $2.62 per share, which is equal to the closing price per share of the Common Stock on the The NASDAQ Stock Market on the grant date of the New Options. The
vesting terms of the New Options are described in detail in the Offer Summary.
