Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 9, 2025, Timothy A. Holt, a member of the Board of Directors (the “Board”) of MGIC Investment Corporation (the “Corporation”) informed the Corporation that he does not intend to stand for re-election to the Board once his current term ends at the Annual Meeting of Shareholders to be held on April 24, 2025. Mr. Holt’s decision was not because of any disagreement on any matter relating to the Corporation’s operations, policies or practices.
