Issue and Allotment of Ordinary Shares following the Exercise of Anti-Dilution Warrants

Beacon Hill, the coking coal developer focused on the Minas Moatize Coking Coal Mine in Tete, Mozambique, announces that it has received notice from Darwin Strategic Limited ("Darwin") to exercise 127,265,103 anti-dilution warrants into new ordinary shares of 0.01 pence each in the capital of the Company ("Ordinary Shares") at an exercise price of 0.01p per share. Details of the anti-dilution warrants were announced to the market on 15 September 2014.

Application will be made to the London Stock Exchange for the 127,265,103 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective and that dealings will commence at 8.00 a.m. on 11 December 2014. The Ordinary Shares will rank pari passu in all respects with all existing Ordinary Shares in the Company.

Following admission of the abovementioned new Ordinary Shares, the Company's enlarged issued share capital will consist of 4,019,787,590 Ordinary Shares with voting rights. The Company does not hold any Ordinary Shares in treasury and accordingly there are no voting rights in respect of any treasury shares.

The above figure of 4,019,787,590 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
