In accordance with Listing Rule 9.6.4 and further to the
announcement made on 21 May 2021 by the Company (as part of its
announcement of its results for the Half Year ended 31 March 2021
(the "Company's Interim Results Announcement")) regarding the
vesting of the Share of Value Plan (the "SoVP"), the Company
announces that 690,566 new ordinary shares of 25 pence each in the
capital of the Company have been issued to allow the vesting of
awards under the SoVP. These new shares rank pari passu with the
existing ordinary shares in issue.
The full net proceeds of GBP3.7 million of the awards under the
SoVP are being reinvested through the subscription for new shares
by Neil Johnson, Chairman of the Company (249,057 ordinary shares)
and Gavin Manson, Chief Financial and Operating Officer (441,509
ordinary shares). Messrs Johnson and Manson have undertaken to
retain their shares for not less than six months following the
proposed capital market transactions for each of Fridays and Hotter
which were referred to in the Company's Interim Results
Announcement.
Application is being made to the FCA and London Stock Exchange
for the admission of 690,566 new ordinary shares to the Official
List and to trading on the main market of the London Stock
Exchange. Admission of the new ordinary shares is expected on 27
May 2021.
As a result of the issue of new shares, the capital with voting
rights of the Company now consists of 38,973,329 ordinary shares of
25 pence each. The Company has no shares in treasury. Therefore,
the total number of voting rights in Electra Private Equity PLC is
38,973,329.
The above figure may be used by shareholders to determine the
percentage of issued share capital they hold in the Company and if
they are required to notify their interest in, or a change to their
interest in, the Company under the Disclosure Guidance and
Transparency Rules of the Financial Conduct Authority.
