Exercise of options and PDMR dealing
ROCKVILLE, MD, December 4, 2023: MaxCyte Inc., (NASDAQ: MXCT;
LSE: MXCT), a leading, cell-engineering focused company providing
enabling platform technologies to advance the discovery,
development, and commercialization of next-generation cell
therapeutics and to support innovative, cell-based research,
announces that between 29 November 2023 and 1 December 2023, as per
a filing lodged with the U.S. Securities and Exchange Commission,
Doug Doerfler, Chief Executive Officer of the Company , exercised
options over 25,550 shares of common stock of $0.01 of the Company
("Common Stock") ("Exercise") in aggregate. The 25,550 new shares
of Common Stock were issued pursuant to the Company's existing its
block admission facility and were sold by Doug Doerfler at a price
range between $5.00 and $5.02 per Common Stock ("Sale"). The sold
shares represent approximately 0.7% of Doug Doerfler's total equity
and option holdings in the Company's stock capital,
respectively.
Following the Exercise and Sale, Doug Doerfler holds 333,197
shares of Common Stock representing 0.3% of the issued stock
capital of the Company. Following the Exercise, Doug Doerfler holds
a further 3,178,130 options over Common Stock.
The sales and option exercises were effected pursuant to a Rule
10b5-1 trading plan adopted by Doug Doerfler on 18 November 2022
relating solely to the sale of shares acquired from exercise of
options that expire on 11 November 2024.
