Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On May 30, 2024, Brian Pratt gave the Board of Directors (the “Board”) of Southland Holdings, Inc. (“Southland”) notice of his resignation as Chairman of the Board and Director of Southland. Mr. Pratt’s resignation was to pursue other opportunities and did not result from any disagreements with management or the Board. The Board wishes to thank Mr. Pratt for his service and the numerous contributions he has made to the success of the Southland.
