that it intends to offer, subject to market conditions and other
factors, up to $150 million aggregate principal amount of senior
convertible notes (the “Notes”) in one or more private
transactions. View is currently in discussions with its existing
noteholders and institutional investors.
The Notes are being offered and sold only to persons reasonably
believed to be “qualified institutional buyers” in reliance on an
exemption from registration under the Securities Act of 1933, as
