Item 5.02             Departure of Directors or Certain Officers
 
On January 18, 2024, Prime Meridian Holding Company (the “Company”) directors Michael A. Micallef, Jr. and Steven D. Smith informed the Company that they intend to retire from the board and will not seek reelection. Neither Mr. Micallef nor Mr. Smith cited any disagreement with the Company in connection with their retirement. Their terms will end following the Company’s annual meeting of shareholders to be held on May 9, 2024. Following the annual meeting, Mr. Micallef and Mr. Smith will each serve as Director Emeritus of the Company.
