Amendments to the GBP50,000,000 2.554 per cent. Guaranteed
Secured Bonds due 2054 (the Bonds) of Bromford Housing Group
Limited (the Issuer)
The sole holder of the Bonds has, by way of written
Extraordinary Resolution, today approved, sanctioned and assented
to amendments to the Conditions of the Bonds and the Transaction
Documents:
(a) to permit the Issuer to immediately repurchase further Bonds
issued pursuant to Condition 19 (Further Issues) and hold these for
later sale to third party investors (any such Bonds, the Retained
Bonds);
(b) to permit the entry by the Issuer into a retained bond
custody agreement for the purpose of appointing a custodian to hold
the Retained Bonds on its behalf and to waive its right to receive
interest and principal in respect thereof;
(c) to amend the Asset Cover Test to exclude, for the purpose of
determining the principal amount of the Bonds outstanding, the
principal amount of any Retained Bonds then held by the Issuer;
(d) to amend the repayment profile of the Bonds to provide for
them to be redeemed in three instalments as follows:

(e) to rename the Bonds the " 2.554 per cent. Guaranteed Secured Bonds due 2056".
The Issuer intends to issue a further GBP200,000,000 in
principal amount of Bonds pursuant to Condition 19 (Further Issues)
(the New Bonds) on or around 28 October 2020 and the written
Extraordinary Resolution shall take effect, and the modifications
referred above will be implemented, immediately prior to the issue
of the New Bonds.
Terms used but not otherwise defined in this Notice shall have
the meanings given to them in the Conditions of the Bonds.
