Ashmore Group plc (the "Company")
18 October 2019
Results of Annual General Meeting ("AGM")
The Board of Ashmore Group plc (the "Board"), is pleased to
announce that at the AGM of the Company held earlier today, all
resolutions were duly passed on a poll. All of the resolutions are
accordingly, declared as carried. Resolutions 5, 6, 7 and 8,
relating to the re-election of Independent Non-Executive Directors,
are carried by a majority of votes cast by both Independent
Shareholders as well as by a majority of votes cast by all
shareholders.
The Company has noted that whilst there was an increase in
shareholder support for the Remuneration Report by comparison to
the 2018 AGM, the vote of independent shareholders against the
Chair of the Remuneration Committee was 21.87%. During the year,
the Company undertook a programme of engagement with its
shareholders and the proxy advisers in an effort to understand
their views on remuneration and this led to the Company making
enhancements to its disclosure. The feedback received by the
Company on this disclosure has been positive and the Company will
continue the dialogue with shareholders.
The results of the poll on each resolution were as follows:
