Grant of Options
Biome Technologies plc, a leading bioplastics and radio
frequency technology business , announces a grant options
("Options") over new ordinary shares of 5 pence each in the Company
("Ordinary Shares").
Options have been granted in respect of a total of 260,618 new
Ordinary Shares to members of staff and persons discharging
managerial responsibilities ("PDMRs"). These new Options represent,
in aggregate, 6.89 per cent of the Company's current issued share
capital. Of these Options, 158,346 have been granted to PDMRs, as
detailed below, and the balance has been granted to other Biome
employees.
The Options are exercisable at 137.5 pence per Ordinary Share
(being the closing mid-market price of an Ordinary Share on 9
October 2023). Of these Options, 130,302 will vest on the first
practical date after signing of the annual report and accounts for
the year ending 31 December 2023 ("Vesting Date 1") and 130,316
will vest on the first practical date after signing the annual
report and accounts for the year ending 31 December 2024 ("Vesting
Date 2"). Options which are not vested at Vesting Date 1 will roll
over to Vesting Date 2.
The Options are conditional on the recipients being employed by
the Company on the specific vesting dates. In addition, Options
granted to PDMRs can only be exercised if the average mid-market
price of an Ordinary Share exceeds 250 pence over the 60 dealing
days prior to the relevant vesting date. The Options can be
exercised from the date of vesting until 5:00 p.m. on the business
day before the 10th anniversary of the date of grant.
