    Suez Energy South America Participaes Ltda. ("SESA")
    Rule 8.4 Announcement
    On 13 June 2008, SESA announced a cash offer for the entire issued and to be issued share capital of Econergy International plc
("Econergy") (the "Offer").

    On 24 June 2008, SESA received a non-legally binding letter of intent to accept the Offer in respect of 7,306,300 Econergy shares,
representing approximately 8.40 per cent. of the existing issued share capital of Econergy, from Scottish Widows Investment Partnership
Limited ("Scottish Widows") in its capacity as discretionary investment manager and legal owner of the shares, which are beneficially owned
by clients of Scottish Widows.

    SESA has therefore received irrevocable undertakings and letters of intent to accept the Offer in respect of, in aggregate, 51,663,956
Econergy shares, representing 59.38 per cent. of Econergy's issued share capital.
