MARBLE POINT LOAN FINANCING LIMITED (the "Company")
Share Buyback Authority and Programme
The purpose of this announcement is to re-state the details of
the Company's current share buyback authority and announce the
initiation of the Company's share buyback programme.
At its annual general meeting held on 27 June 2019, the Company
was granted the authority to repurchase up to 30,836,962 of its
ordinary shares, representing 14.99% of the aggregate number of
ordinary shares in issue at such date. Unless expressly revoked by
shareholders, such authority shall expire at the Company's next
annual general meeting. The Company expects to renew this authority
at its next annual general meeting.
The Company intends, at its sole and absolute discretion and
subject to prevailing market conditions, to exercise this authority
from time to time pursuant to a share buyback programme and plans
to engage Stifel Nicolaus Europe Limited to act as its broker in
respect of any buyback transactions carried out pursuant to this
programme.
A buyback of shares pursuant to the share buyback programme on
any trading day may represent a significant proportion of the daily
trading volume in the Shares on the Exchange (and could exceed the
25% limit of the average daily trading volume of the preceding 20
business days as referred to in the Commission Delegated Regulation
(EU) No. 2016/1052 on buy-back programmes).
Shares repurchased may either be cancelled or held in treasury,
at the Company's sole and absolute discretion.
The buyback programme may be cancelled or changed at any time at
the Company's sole and absolute discretion.
