SELLING STOCKHOLDERS

This prospectus supplement covers the resale or other disposition from time to time by the selling stockholders identified in the table below of up to 1,297,600 shares of our common stock (the “Shares”).

On August 1, 2024, we entered into a Stock Purchase Agreement (the “Stock Purchase Agreement”) with each of the selling stockholders, Megatran Industries, Inc. (the “Target”) and James David Seitz, an individual, solely in his capacity as the Stockholder Representative (as defined therein).

Pursuant to the terms of the Stock Purchase Agreement and concurrently with entering into such agreement, we purchased all of the issued and outstanding shares of capital stock of the Target owned by the selling stockholders, for the Purchase Price (as defined therein), which included the issuance of the Shares to the selling stockholders.

Under the terms of the Stock Purchase Agreement, we are obligated to file either (i) a new registration statement, or (ii) a prospectus supplement to an already effective registration statement, covering the resale of the Shares by the selling stockholders no later than ten business days following the closing under the Stock Purchase Agreement. In connection with such obligation, we are filing this prospectus supplement.

We are registering the Shares to permit the selling stockholders and their pledgees, donees, transferees, assignees or other successors-in-interest that receive their Shares after the date of this prospectus supplement to resell or otherwise dispose of the Shares in the manner contemplated under “Plan of Distribution” herein.

Following the closing under the Stock Purchase Agreement, each of James David Seitz and Robert Seitz became an employee of the Company. Other than the foregoing, except as otherwise disclosed in documents incorporated by reference herein, none of the selling stockholders have, or within the past three years have had, any position, office or other material relationship with us.

The following table sets forth the name of the selling stockholders, the number of shares owned by the selling stockholders, the number of shares that may be offered under this prospectus and the number of shares of our common stock owned by the selling stockholder assuming all of the shares registered for resale hereby are sold. The number of shares in the column “Number of Shares Being Offered” represents all of the shares that the selling stockholders may offer under this prospectus. We are a leading system provider of megawatt-scale power resiliency solutions that orchestrate the rhythm and harmony of power on the grid^™, and protect and expand the capability of our Navy’s fleet. Common Stock

Annual Meeting. Annual meetings of our stockholders are held on the date designated in accordance with our amended and restated by-laws.
