Explanation of Responses:
( 1)  On 05/08/2012, the reporting person was granted a performance-based option to purchase 10,000 shares of common stock. This option is eligible to vest in five equal annual installments beginning 05/08/2013, subject to the achievement of certain performance criteria for each of the fiscal years ending December 31, 2012, 2013, 2014, 2015, and 2016. The performance criteria for 2015 were met and their achievement approved on 02/02/2016, resulting in 2,000 options earned.
( 2)  On 05/08/2013, the reporting person was granted a performance-based option to purchase 20,000 shares of common stock. This option is eligible to vest in five equal annual installments beginning 05/08/2014, subject to the achievement of certain performance criteria for each of the fiscal years ending December 31, 2013, 2014, 2015, 2016, and 2017. The performance criteria for 2015 were met and their achievement approved on 02/02/2016, resulting in 4,000 options earned.
( 3)  This stock appreciation right vests in four annual installments beginning on 02/02/2017.
