(the "Issuer"), the Class F Ordinary Shares, par value $0.0001 per share ("Class F Shares"), of the Issuer, were automatically convertible into Class A Ordinary Shares, par value $0.0001 per share ("Class A Shares"), of the Issuer, on a one-for-one basis, at the time of the Issuer's initial business combination, subject to adjustment. |

("Vacasa") pursuant to the Business Combination Agreement, as amended, dated as of July 28, 2021, by and among the Issuer, Vacasa and the other parties thereto, the Class F Shares were automatically cancelled, extinguished and converted, on a one-for-one basis, into shares of Class F Common Stock of Vacasa. |
