Directors' Shareholding

Interserve Plc ("the Company") announces that Mr A R Hannah acquired a further
8,657 ordinary 10p shares in the Company on 26 June 2003, at a price of 199.2p
per share, pursuant to the exercise on 24 June 2003 of an option granted on 27
October 1997 under the terms of the Interserve Plc Sharesave Scheme. This
increases his shareholding in the Company to 78,657 ordinary 10p shares.
