                 The RMC Group p.l.c. Long Term Incentive Plan

This is to advise that on 27 January 2004, awards vested in accordance with the
rules of the Company's Long Term Incentive Plan ("Plan") in respect of a number
of directors of the Company as set out in the table below. The table shows the
number of ordinary shares acquired for no cost by the directors as a result of
the vesting and the number of shares sold on their behalf to fund tax and
national insurance due.

In addition, the executive directors of the Company are potential beneficiaries
of the Company's employee benefit trust and as a result are interested in all
the shares held in the trust. The table shows the number of shares now held in
the trust in which the executive directors are interested as a result of the
vesting of the awards under the Plan. The price for the shares of the Company on
the date of the transaction was 693.68p.
