Consolidated Envirowaste Industries Inc. (TSX VENTURE:CWD) - 

Consolidated Envirowaste Industries Inc. (the "Company") announces today that it
has entered into a definitive agreement pursuant to which James Darby and
Douglas Halward (together, the "Acquiring Shareholders") have agreed to acquire,
by plan of arrangement (the "Arrangement"), all of the issued and outstanding
common shares of the Company not owned by the Acquiring Shareholders or their
spouses, for $0.14 per common share in cash.


The transaction will be structured as a plan of arrangement under the Business
Corporations Act (British Columbia). On completion of the Arrangement, all
outstanding common shares of the Company not owned by the Acquiring Shareholders
or their spouses will be transferred to the Acquiring Shareholders in exchange
for a cash payment of $0.14 per share.


Closing of the Arrangement is subject to customary conditions, including
approval by a favourable vote of at least two-thirds of the votes cast in person
or by proxy by shareholders at a special meeting of shareholders, and the
receipt of Court and regulatory approvals. In addition, in accordance with the
requirements of the TSX Venture Exchange and applicable securities laws, the
transaction is subject to approval by a majority of the votes cast in person or
by proxy by the disinterested shareholders of the Company, which excludes the
Acquiring Shareholders and their associates. The Acquiring Shareholders and
their associates currently hold approximately 70.9% of the outstanding shares of
the Company.


The Special Committee of the Board of Directors of the Company has recommended
that shareholders vote in favour of the Arrangement.


An information circular for the special shareholders' meeting of the Company is
expected to be mailed in late November, 2009.
