DEREGISTRATION OF SECURITIES

VIA Pharmaceuticals, Inc. (the “Company”) is filing this Post-Effective Amendment No. 1 to Form S-8 Registration Statement to deregister all shares of the Company’s common stock, $0.001 par value per share (“Common Stock”), that remain unsold as of the date hereof under the Registration Statement on Form S-8 (File No. 333-108314) originally filed by Corautus Genetics Inc. with the Securities and Exchange Commission on August 28, 2003 (the “Registration Statement”). The Registration Statement registered 2,680,876 shares of Common Stock for sale pursuant to the Corautus Genetics Inc. 2002 Stock Plan and 142,857 shares pursuant to the Employee Stock Purchase Plan.

This offering has been terminated because the Company intends to deregister its Common Stock under the Securities Exchange Act of 1934, as amended. Consequently, the Company hereby terminates the effectiveness of the Registration Statement and removes from registration any and all securities of the Company that are registered but unsold under the Registration Statement.
