The following Final Terms are
available for viewing:
The Toronto-Dominion Bank has issued
EUR 2,000,000,000 Floating Rate Covered Bonds due February 16, 2027
(the "Series CBL66 Covered
Bonds"), EUR 2,500,000,000 3.191% Covered Bonds due February
16, 2029 (the Series CBL67 Covered
Bonds") and EUR 1,000,000,000 3.247% due February 16, 2034
(the Series CBL68 Covered
Bonds") pursuant to its CAD $80,000,000,000 Global
Legislative Covered Bond Programme, unconditionally and irrevocably
guaranteed as to payments by TD Covered Bond (Legislative)
Guarantor Limited Partnership (the "Programme").
The following documents constitute
the final terms dated March 7, 2024 relating to the issue of Series
CBL66 Covered Bonds (the "Series
CBL66 Final
Terms"), the
issue of Series CBL67 Covered Bonds (the "Series CBL67 Final Terms") and the issue of Series
CBL68 Covered Bonds (the "Series
CBL68 Final Terms",
together with the Series CBL66 Final Terms and Series CBL67 Final
Terms, the "Final Terms")
for the purpose of Article 8 of Regulation (EU) 2017/1129, as
amended, as it forms part of United Kingdom domestic law by virtue
of the European Union (Withdrawal) Act 2018, as amended, and must
be read in conjunction with the Prospectus dated
June 30, 2023, as supplemented by a 1st
combined supplementary prospectus dated August 25, 2023, a
2nd combined supplementary prospectus dated 6 December
2023 and a 3rd combined supplementary prospectus dated 1
March 2024 (the
"Prospectus"). Complete
information on The Toronto-Dominion Bank and the offering of Series
CBL66 Covered Bonds, Series CBL67 and Series CBL68 Covered Bonds
can only be obtained by reading the relevant Final Terms together
with the Prospectus.

the Financial Conduct Authority and are available for
