Cdn. $400 Million Medium Term Note Offering

TORONTO--(BUSINESS WIRE)--May 30, 2001--The Thomson Corporation
(TSE:TOC) announced today that it will issue Cdn. $400 million of
6.90% Medium Term Notes due June 4, 2008. The syndicate for the
offering will include BMO Nesbitt Burns Inc., CIBC World Markets Inc.,
RBC Dominion Securities Inc., TD Securities Inc. and Scotia Capital
Inc.
The Medium Term Notes will bear interest at 6.90% per annum,
payable semi-annually on June 4 and December 4 commencing December 4,
2001. The Medium Term Notes will be direct unsecured obligations of
The Thomson Corporation. Proceeds of the offering will be used for
general corporate purposes, including the repayment of indebtedness.
The offering is expected to close on June 4, 2001.
