          ISSUE OF SHARES BY HEALTHCARE ENTERPRISE GROUP PLC PURSUANT
                           TO THE EXERCISE OF OPTIONS

Healthcare Enterprise Group PLC (HCEG), the healthcare products and services
company, today announces that it has applied for admission to trading on the
Alternative Investment Market of the London Stock Exchange of 50,331,492
ordinary sharesof 0.1p each pursuant to the exercise of options. These options
were held by a former director of HCEG and a former director of HCEG's US
subsidiary, Healthcare Enterprise Group, Inc. (HCEGI). The options had been
granted under the Amended and Restated 2001 L&P MCC, Inc. Stock Option Plan,
which is operated by HCEGI. The terms of this plan, which was adopted by HCEG as
part of the March 2003 reverse takeover, were summarised in paragraph 8.2.2 of
Part V of the prospectus issued by HCEG on 20 October 2003. The exercise price
paid to HCEG in respect of these options was 0.1p per ordinary share.
