The Registrant expects there will be significant
changes to its revenue, gross profit, loss from operations, net income (loss) and comprehensive income (loss) for the fiscal year ended
March 31, 2023, as compared to the information provided in its Annual Report on Form 10-K for the fiscal year ended March 31, 2022.
As the registrant has completed a corporate structure
change, deconsolidating its two VIEs at the end of March 2022, their comparative financial figures reclassified to items named "XXXX-discontinued
operations" was fully included in the fiscal year ended March 31, 2022, and there will be no such figures under the Annual Report.
Therefore, it is expected to incurr net loss of approximately $3.8 million for the year ended March 31, 2023 from a net income of approximately
$2.6 million for the year ended March 31, 2022, and a comprehensive loss of approximately $4.9 million for the fiscal year ended March
31, 2023 from a comprehensive income of 2.7 million for the fiscal year ended March 31, 2022. Management’s current reasonable estimates
