Announce Receipt of Regulatory Approvals for Pending Merger
Carmichaels and Monessen, PA; September 15, 2014. CB Financial Services, Inc. (CB) (OTCQB CBFV), the
Carmichaels-based holding company for Community Bank, and FedFirst Financial Corporation (FedFirst) (NasdaqCM FFCO), the Monessen-based holding company for First Federal Savings Bank, announced today that they have received
approval from both the Federal Deposit Insurance Corporation and the Pennsylvania Department of Banking and Securities to complete the pending merger of their subsidiary banks, which, when completed, will result in First Federal Savings Bank merging
with and into Community Bank. CB has filed a waiver request with the Federal Reserve Board requesting that it waive its application requirements with respect to the proposed merger of FedFirst with and into CB. Action on the waiver request is
pending.
FedFirsts stockholders are scheduled to vote on the proposed transaction at a special meeting of stockholders on
September 26, 2014. Subject to the receipt of their approval and the waiver from the Federal Reserve Board and the satisfaction of other closing conditions, the transaction is expected to be completed on or about October 31, 2014.
