Deutsche Boerse Makes $4.3 Billion Offer for SimCorp

Deutsche Boerse SE said Thursday it would make a voluntary
takeover offer for Danish software company SimCorp AS for a total
3.9 billion euros ($4.31 billion).
The all-cash offer of DKK735 ($108.86) per share represents a
38.9% premium over the closing price of DKK529, and a 45.3% premium
over the three-month volume-weighted average price of DKK505.73 as
of April 26, the company said. The offer excludes treasury
shares.
"The combination of SimCorp's highly complementary business
offering with Deutsche Boerse's Data & Analytics businesses
will create a full scope front-to-back investment management
solutions platform," Deutsche Boerse said.
The Board of Directors of SimCorp unanimously resolved to
recommend the shareholders of SimCorp to accept the Offer,
according to Deutsche Boerse.
Deutsche Boerse said it secured a bridge facility to finance the
offer.
