RIVERSIDE, CALIFORNIA (OTCBB: LVCA) -
On May 28, 2008, the company filed a Form 8-K disclosing the
completion of a non-brokered Regulation S private placement of
12,500,000 shares of the company's restricted common stock at $0.02
per share. Gross proceeds from the private placement will be used
for working capital. On June 2, 2008, the Company retained
PARSONS/BURNETT/BJORDAHL, LLP, to file a Form S-1 registration
statement with the United States Securities and Exchange Commission
registering all the shares that were sold pursuant to this
offering.
