Total voting rights

In accordance with Disclosure and Transparency Rule 5.6.1, AO World PLC announces that, as at 31 July 2023, the Company's issued share capital consisted of 578,570,448 ordinary shares of 0.25p each ("Ordinary Shares"). No Ordinary Shares are held in treasury.

The above figure includes:

(a) 1,443,526 Ordinary Shares which were allotted to the AO World Employee Benefit Trust in order to satisfy the release of share awards under the terms of The AO 2018 Incentive Plan (FY20 grant and certain early settlements under the FY21 and FY22 grants) . As previously announced these Ordinary Shares were admitted to listing on 11 July 2023; and

(b) 205,933 Ordinary Shares which were allotted to the AO World Employee Benefit Trust in order to satisfy the release of share awards under the Company's Save as You Earn Scheme (2020 grant (maturity 2023)). As previously announced these Ordinary Shares were admitted to listing on 11 July 2023.

Therefore, the total number of voting rights in AO World PLC as at 31 July 2023 is 578,570,448 and this figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
