PDMR Dealing - Share Transfers
This notification is made in accordance with DTR 3.1 of the
Disclosure and Transparency Rules and article 19(1) of the Market
Abuse Regulations (EU) no. 596/2014 ("MAR").
The Company was notified on 26 November 2018 that, on that date,
the below noted individuals (or persons or entities closely
associated to them), each a PDMR of the Company, as detailed in the
forms at the end of this announcement, completed a transaction to
purchase an amount of Ordinary Shares in the Company from certain
existing locked-up shareholders as follows:

The price per share was determined by reference to the market
closing price on 23 November 2018 discounted at 1.5%.
The Company is not a party to these arrangements, other than
where required in respect of maintaining the lock-up arrangements,
as appropriate.
There has been no change to the total number of shares in
lock-up for a 10-year period following the date of Admission as a
result of this transaction.

AGA is a Guernsey registered closed-ended collective investment
scheme incorporated as a non-cellular company that listed on the
London Stock Exchange on 15 June 2015. It is regulated by the
