At a meeting held on January 25, 1998, the Board of Directors of ARCO took the
following actions:

1.    Accepted the retirement of Mr. Richard H. Deihl from the Board
      of Directors of ARCO, effective January 31, 1998.

2.    Elected Gary L. Tooker to the Board of Directors of ARCO,
      effective January 25, 1998.
