    INDIANAPOLIS--(BUSINESS WIRE)--Oct. 21, 2002--

                Lilly Declares Fourth-Quarter Dividend

The Board of Directors of Eli Lilly and Company (NYSE:LLY) today
declared a dividend for the fourth quarter of 2002 of 31 cents a share
on outstanding common stock. This is the same as the dividend paid in
the first three quarters and brings the annual dividend for 2002 to
$1.24 per share.

The dividend is payable December 10, 2002, to shareholders of record
at the close of business on November 15, 2002.
