    This replaces announcement 5384H released at 15:48 on 5 November 2008. William Taylor and Stanley Elliott resigned as Directors of the
Company on 4 November 2008, but will continue to be employed by the Company to enable an orderly handover to Redhall.

    Directorate Change

    Chieftain today announces that, following the announcement on 31 October 2008 by Redhall Group Plc ("Redhall") that its recommended cash
offer for Chieftain had been declared unconditional in all respects, William Taylor, Chief Executive, and Stanley Elliott, Finance Director,
resigned as Directors of the Company on 4 November 2008.  They will both continue as employees of Chieftain in order to enable a orderly
handover to Redhall.

    The Company also announces that Peter Wardle, Non-executive Chairman and Christopher Fleetwood and John Dawson, both Non-executive
Directors, resigned from the Company on 31 October 2008.

    Chieftain also announces the appointment of Robert Simon Foster, age 37, and Christopher Lewis-Jones, age 48, as directors with
