Charles Street Capital plc ('Charles Street' or the 'Company')

Correction re Exercise of warrants and issue of equity

Further to the announcement by Charles Street on 15 December 2010 regarding the exercise of 5,000,000 warrants by Marco Longo, the Company are not able to have the 5,000,000 new ordinary shares (the "Warrant Shares") admitted to trading on AIM whilst the Company's shares are suspended. Therefore the Warrant Shares will not be admitted until Charles Street have completed a reverse takeover and the Company's entire issued ordinary share capital has been readmitted to trading on AIM.

Charles Street's issued share capital will therefore remain as 1,043,148 027 ordinary shares. this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
